This End User License Agreement (the “Agreement”) governs use of the Winfield Bookkeeping Connector (the “Application”), published by Winfield Street Food Concepts LLC (“Winfield”), 96 Broad Street, Stamford, CT 06901.
1. Limited internal license
The Application is proprietary software owned by Winfield and is made available solely for Winfield’s internal accounting operations. Winfield grants authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the Application for that purpose alone. No license is granted to any member of the public.
2. Restrictions
Authorized users may not: distribute, sublicense, sell, rent, or otherwise transfer the Application to any third party; use it to access any QuickBooks company other than those Winfield is authorized to access; or use it for any unlawful purpose or in violation of Intuit’s applicable terms.
3. Authorization and consent
The Application may access a QuickBooks Online company only after an authorized administrator of that company has expressly granted access through Intuit’s standard authorization process. Access may be revoked at any time.
4. Human approval of accounting entries
The Application will not write a journal entry to QuickBooks Online except upon the express approval of an authorized person, given after review of that entry. Automated posting without human approval is not permitted.
5. Data
Handling of data accessed through the Application is described in our Privacy Policy, which forms part of this Agreement.
6. Intellectual property
All right, title, and interest in the Application, including all intellectual property rights, remain with Winfield. This Agreement grants no ownership rights.
7. No warranty
The Application is provided “as is,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Application is a bookkeeping aid; it does not constitute accounting, audit, or tax advice, and it does not replace professional review of Winfield’s financial records.
8. Limitation of liability
To the maximum extent permitted by law, Winfield shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data or profits, arising out of the use of or inability to use the Application.
9. Term and termination
This Agreement remains in effect while the Application is in use and terminates automatically upon revocation of authorization or discontinuation of the Application. Winfield may modify or discontinue the Application at any time.
10. Governing law
This Agreement is governed by the laws of the State of Connecticut, without regard to its conflict-of-law provisions.
